Introduction and Acceptance of Terms

Welcome to QANT Pty Ltd Trading as Red Bridge Cyber ("Company," "we," "us," or "our"). These Terms and Conditions govern your access to and use of our website, the customer portal, and any Consulting Services or Secure Web Hosting & Management Services provided by us (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an entity, you warrant that you have the authority to bind that entity to these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services.

Services and Customer Contracts

Primacy of Contract: The provision, scope, and specific terms of all Services—including but not limited to Consulting Services and Secure Web Hosting & Management Services—are governed by a specific, legally binding written agreement or contract ("Customer Contract") executed between the Company and the Client.

Service Description: The Company provides professional (a) Consulting Services and (b) Secure Web Hosting & Management Services. The specific details, delivery method (on-site, remote, or physical component), and configuration timeframe for the Services are exclusively defined within the applicable Customer Contract.

Exclusions and Guarantees: Any specific exclusions, limitations, or guarantees related to the Services are contained within the relevant Customer Contract and supersede any general statements herein.

Financial Terms, Invoicing, and Non-Payment

Pricing Models: The Client agrees to compensate the Company based on the model specified in the Customer Contract, which will generally be one of the following:

- Time & Materials Contract Rate as agreed.

- Fixed-Price for the delivery of services to a Defined Project Scope.

- Ongoing Management Services as outlined in the custom contract.

Payment Terms: Unless otherwise specified in the Customer Contract, payment terms for all activities are 7 days from the date of issue of the invoice.

Non-Payment and Service Restriction: Failure to adhere to the payment terms will result in the following actions:

- Accounts 7 days in arrears may have customer access restricted, or the related Service may be rate limited.

- Accounts 14 days in arrears may have customer access entirely removed, or the related Service may be disabled.

- Accounts 28 days in arrears will result in the commencement of formal debt recovery action.

Payment for Subscriptions: Payments for recurring Management Services (Subscriptions) are processed via the payment gateway provided inside the customer portal.

Cancellations, Termination, and Refunds

Contracted Service Cancellation: Any contracted service may be cancelled by either party only as per the explicit termination terms outlined in the relevant Customer Contract.

Subscription Cancellation by Client: Subscriptions may be cancelled by the Client with 21 days written notice. The Service will continue to remain operational until the end of the current billing period, at which point the subscription will cease.

Termination by Company: The Company may terminate any contracted service as per the terms outlined in the Customer Contract. The Company may terminate any subscription service with 21 days written notice. The Service will continue to remain operational until the end of the current billing period.

Refund Policy

Contracted Work: No refunds are provided for completed or contracted work, unless explicitly required to comply with a legal requirement applicable in Queensland, Australia.

Subscriptions: No refunds are provided for paid subscriptions. As all customers are manually onboarded, the Client acknowledges that there is no means of purchasing a subscription by accident.

Intellectual Property (IP)

Transfer of IP: All content, diagrams, documentation, and source code developed specifically for a Client under a Customer Contract become the exclusive property of the Client upon payment clearance of the related invoice.

Company IP: Any items that are considered "generic" (such as templates, general methodologies, internal tools, or the underlying technology of the Secure Web Hosting platform) remain the exclusive property of QANT Pty Ltd Trading as Red Bridge Cyber.

Client Use Rights: Clients may obtain a non-exclusive right to re-use or modify Company-owned "generic" items only if and to the extent specified in the appropriate Customer Contract.

Governing Law and Jurisdiction

These Terms and your use of the Services are governed by and construed in accordance with the laws of Queensland, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Queensland.

Disclaimer and Limitation of Liability

Disclaimer: The Services are provided on an "AS-IS" and "AS-AVAILABLE" basis. The Company disclaims all warranties, express or implied, in connection with the Services and your use thereof, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability: To the maximum extent permitted by applicable law, the Company, its directors, employees, or agents will not be liable for any direct, indirect, incidental, consequential, special, or punitive damages (including loss of profits or data) arising from your use of the Services, except as expressly provided within a governing Customer Contract.
